Acceptance of Terms
By accessing or using NeuralFlow AI's platform, website, APIs, or any related services (collectively, the "Services"), you confirm that you are at least 18 years of age, have read and understood these Terms of Service ("Terms"), and agree to be legally bound by them. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Agreement Formation
Your agreement with NeuralFlow AI is formed when any of the following occur:
- You click "I Agree," "Sign Up," or a similar button or checkbox
- You access or use any part of the Services
- You execute an Order Form or Statement of Work referencing these Terms
Important: If you do not agree to these Terms, you must immediately cease using the Services and delete your account. Continued use constitutes ongoing acceptance of any updates to these Terms.
Description of Services
NeuralFlow AI provides an AI-powered SaaS platform that enables developers, businesses, and individuals to build, deploy, and scale intelligent applications. Our Services include, but are not limited to:
AI Model APIs
Access to large language models, vision models, and specialized AI inference endpoints
Workflow Builder
Visual drag-and-drop interface for constructing multi-step AI pipelines and automations
Analytics Dashboard
Real-time usage metrics, cost tracking, performance monitoring, and audit logs
API Key Management
Secure generation, rotation, and scoped permission management for API credentials
Service Availability
We strive to maintain 99.9% uptime for paid plans. Scheduled maintenance windows will be communicated at least 48 hours in advance via our status page at status.neuralflow.ai. We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable notice.
User Accounts & Registration
Account Creation
To access most features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Use a strong, unique password and enable two-factor authentication where available
- Not share your account credentials with any third party
Account Security & Responsibility
You are solely responsible for all activity that occurs under your account. You must notify us immediately at security@neuralflow.ai if you suspect any unauthorized access or security breach. NeuralFlow AI will not be liable for any loss or damage arising from your failure to maintain account security.
Team & Organization Accounts
If you create an organization account, the account owner is responsible for all team members' compliance with these Terms. You may invite team members subject to your plan's seat limits. The account owner may remove team members at any time and is responsible for ensuring departing members no longer have access.
Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. The following uses are strictly prohibited:
Harmful & Illegal Content
Generating, distributing, or facilitating content that is illegal, defamatory, obscene, threatening, or that violates any applicable law or regulation, including content that exploits minors.
Security Violations
Attempting to probe, scan, or test the vulnerability of any system or network; breaching security or authentication measures; or using the Services to develop malware, spyware, or cyberweapons.
Abuse & Spam
Sending unsolicited communications, operating botnets, generating spam, or using the Services to conduct phishing attacks or social engineering campaigns.
Intellectual Property Infringement
Using the Services to infringe upon any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
Platform Abuse
Reverse engineering, decompiling, or disassembling the Services; scraping or harvesting data without authorization; or circumventing rate limits or usage quotas through technical means.
Enforcement: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may be reported to appropriate law enforcement authorities.
Subscription & Billing
Subscription Plans & Pricing
NeuralFlow AI offers multiple subscription tiers including a free tier and paid plans billed monthly or annually. All prices are listed in USD and are exclusive of applicable taxes unless stated otherwise. Annual plans are billed upfront and offer a discount compared to monthly billing.
Free Trial
New accounts receive a 14-day free trial of our Pro plan with no credit card required. At the end of the trial period, your account will automatically downgrade to the free tier unless you provide payment information and select a paid plan. Trial usage is subject to these Terms.
Payment & Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- We accept major credit cards, debit cards, and ACH bank transfers via Stripe
- Failed payments will result in a grace period of 7 days before service suspension
- Price changes will be communicated at least 30 days before taking effect
Refund Policy
We offer a 30-day money-back guarantee for new paid subscriptions. If you are not satisfied within the first 30 days of your first paid subscription, contact us at billing@neuralflow.ai for a full refund. Refunds are not available for subsequent billing periods, usage-based overages, or add-on purchases.
Cancellation
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends. We do not provide prorated refunds for mid-period cancellations except where required by law.
Intellectual Property
NeuralFlow AI's Intellectual Property
The Services, including all software, algorithms, models, interfaces, documentation, trademarks, logos, and other content provided by NeuralFlow AI, are owned by NeuralFlow AI or its licensors and are protected by intellectual property laws worldwide. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms.
Your Content & Outputs
You retain full ownership of all content you submit to the Services ("Input") and all AI-generated outputs produced from your Input ("Output"), subject to the following:
- You grant NeuralFlow AI a limited license to process your Input solely to provide the Services
- We will not use your Input to train our models without your explicit opt-in consent
- You are responsible for ensuring your Input does not infringe third-party rights
- AI-generated Outputs may not be unique; similar outputs may be generated for other users
Feedback & Suggestions
If you provide feedback, suggestions, or ideas about the Services, you grant NeuralFlow AI a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.
Privacy & Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
GDPR Compliance
We comply with GDPR for EU/EEA users and provide Data Processing Agreements (DPAs) for enterprise customers
Data Residency
Enterprise plans offer data residency options in the US, EU, and APAC regions to meet regulatory requirements
Data Deletion
Upon account deletion, your data is purged from our systems within 30 days, with backups cleared within 90 days
Data Portability
Export all your data at any time in standard formats (JSON, CSV) from your account settings
Disclaimers & Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. NeuralFlow AI does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
AI Output Disclaimer
AI-generated outputs are probabilistic in nature and may contain inaccuracies, errors, or biases. You are solely responsible for reviewing, validating, and determining the appropriateness of any AI-generated content before use. NeuralFlow AI makes no representations about the accuracy, completeness, or reliability of AI outputs for any specific purpose, including medical, legal, financial, or safety-critical applications.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURALFLOW AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages arising from unauthorized access to or alteration of your data
- Any matter beyond our reasonable control
Liability Cap: Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) USD $100.
Indemnification
You agree to indemnify, defend, and hold harmless NeuralFlow AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content you submit through the Services.
Termination
Termination by You
You may terminate your account at any time by navigating to Account Settings and selecting "Delete Account," or by contacting our support team. Upon termination, your right to use the Services ceases immediately. You remain responsible for all charges incurred prior to termination.
Termination by NeuralFlow AI
We reserve the right to suspend or terminate your account and access to the Services, with or without notice, if:
- You materially breach these Terms and fail to cure within 10 days of notice
- You engage in fraudulent, abusive, or illegal activity
- Your account remains inactive for more than 24 consecutive months on a free plan
- Required by law or to protect the rights, property, or safety of others
Effect of Termination
Upon termination, all licenses granted to you under these Terms immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and governing law) shall survive. You may request a data export within 30 days of termination; after that period, your data may be permanently deleted.
Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users located in the European Union, mandatory consumer protection laws of your country of residence may also apply.
Dispute Resolution
Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@neuralflow.ai. We will attempt to resolve the dispute within 30 days.
If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
Class Action Waiver
YOU AND NEURALFLOW AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
EU/UK Users: Nothing in these Terms affects your rights as a consumer under applicable EU or UK law, including the right to bring claims before the courts of your country of residence.
Changes to Terms
We reserve the right to modify these Terms at any time. We are committed to providing clear and timely notice of any material changes.
When we make material changes, we will notify you by:
- Posting the updated Terms on this page with a new "Last Updated" date
- Sending an email notification to your registered email address
- Displaying a prominent in-app banner for at least 14 days
- Providing at least 30 days notice before changes take effect for paid subscribers
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may cancel your subscription before the changes take effect to receive a prorated refund for the unused portion of your subscription period.
We maintain a changelog of all Terms updates at neuralflow.ai/terms/changelog so you can review the history of changes.
